Terms and Conditions for Boom Art FZ LLE (Boom Art Agency)

Welcome to Boom Art Agency. These Terms and Conditions ("Terms") govern your access to and use of the website https://www.boom-art-agency.com/ and any services provided by Boom Art FZ LLE ("Boom Art", "we", "us", "our"). By using the website or booking our services, you agree to these Terms. If you do not agree, do not use the site or engage our services.

1. Services

- Boom Art provides artistic and musical services including but not limited to artist booking, live performance coordination, music production, creative direction, and related event and digital services (the "Services").

- Service details, scope, deliverables, dates, and fees will be set out in quotes, proposals, invoices, or written agreements between you and Boom Art.

2. Bookings, Quotes & Confirmation

- Bookings are confirmed only when Boom Art issues a written confirmation or invoice and you have paid any required deposit or retainer.

- Quotes are valid for the period stated on the quote. If no period is specified, quotes expire 30 days from issue.

3. Payments & Fees

- Payment terms will be specified on invoices or contracts. Unless otherwise agreed, full payment is due prior to or on the date of performance for one-off events, or according to the schedule agreed for projects.

- Accepted payment methods and any transaction fees will be communicated at booking.

- Unpaid amounts accrue interest at the maximum rate permitted by applicable law or 1.5% per month, whichever is lower.

4. Deposits, Cancellation & Refunds

- A non-refundable deposit may be required to secure bookings. The deposit amount will be specified in your confirmation.

- Cancellation by the client: If you cancel, amounts paid may be retained in whole or in part to cover costs and lost opportunity, as set out in your specific booking confirmation or contract.

- Cancellation by Boom Art: We reserve the right to cancel or reschedule services due to illness, force majeure, or circumstances beyond our control. If we cancel, we will refund amounts paid for the canceled portion of services, or offer an agreed alternative.

- Refunds: Any refunds are processed after deducting costs incurred and in accordance with the specific cancellation provisions in your agreement.

5. Changes to Services

- Any change to agreed services (scope, date, time, location, personnel) must be requested in writing. Additional fees may apply. We will confirm acceptance of changes in writing.

6. Client Responsibilities

- The client is responsible for providing accurate event details, obtaining necessary permissions, ensuring safe and legal performance conditions, and supplying any information or materials required by agreed deadlines.

- The client must ensure venue access, staging, power, sound, and other technical requirements as specified by Boom Art. Additional charges may apply for failure to meet requirements.

7. Intellectual Property

- Boom Art retains ownership of its intellectual property, including but not limited to music, compositions, arrangements, creative concepts, promotional materials, images, and website content, unless otherwise agreed in writing.

- Unless a written agreement states otherwise, Boom Art grants the client a non-exclusive, non-transferable license to use delivered materials solely for the purposes specified in the agreement.

- The client must not reproduce, distribute, modify, or commercially exploit Boom Art’s intellectual property without prior written consent.

8. Client-Provided Materials & User Content

- You warrant that any materials you provide (music, images, text, logos) do not infringe third-party rights and that you have all necessary permissions and licenses.

- Boom Art may use photos, videos, or recordings of public performances for promotion unless a written agreement restricts such use.

9. Privacy & Data

- Boom Art collects and processes personal data in accordance with its Privacy Policy available at https://www.boom-art-agency.com/ (or linked privacy page). By using the site and engaging services you consent to the collection and processing described in the Privacy Policy.

10. Warranties & Disclaimers

- We will perform services with reasonable skill and care. Except as expressly stated, Boom Art provides services "as is" and makes no other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Limitation of Liability

- To the maximum extent permitted by law, Boom Art’s total liability arising from or related to these Terms or any services provided shall be limited to the total fees paid by you for the specific service giving rise to the claim.

- Boom Art shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, opportunities, or goodwill.

12. Indemnification

- You agree to indemnify, defend, and hold harmless Boom Art and its officers, employees, agents, and contractors from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, negligence, willful misconduct, or violation of third-party rights.

13. Force Majeure

- Boom Art is not liable for failure to perform due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, government action, strikes, or transport disruptions. In such cases, we will use reasonable efforts to reschedule or provide alternative arrangements.

14. Third-Party Links & Providers

- The site may contain links to third-party websites and services. Boom Art is not responsible for third-party content or services and does not endorse them. Use of third-party services is at your own risk.

15. Changes to Terms

- Boom Art may update these Terms from time to time. Updated Terms will be posted on the website with a revised effective date. Continued use of the site or services constitutes acceptance of the updated Terms.

16. Governing Law & Dispute Resolution

- These Terms are governed by and construed in accordance with the laws of the jurisdiction specified in your contract with Boom Art or, if none is specified, the laws of the Emirate of Dubai and the United Arab Emirates.

- Parties will attempt to resolve disputes amicably. If resolution cannot be reached, disputes will be submitted to the competent courts or dispute resolution process in the agreed jurisdiction.

17. Severability

- If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

18. Entire Agreement

- These Terms, together with any quotes, confirmations, proposals, and written agreements, constitute the entire agreement between you and Boom Art concerning the subject matter and supersede prior understandings.
